Codevra provides custom software development services, including but not limited to AI and machine learning solutions, web and mobile application development, cloud and SaaS solutions, enterprise software, data analytics, cybersecurity solutions, and dedicated development team services.
All software development projects are governed by separate, project-specific service agreements ("Statements of Work" or "SOWs") that outline the scope, timeline, deliverables, payment terms, and other project-specific conditions. These Terms of Service apply in addition to any such agreements.
Unless otherwise specified in the project-specific SOW, all intellectual property rights in custom software developed for clients shall be assigned to the client upon full payment. This includes source code, documentation, and related materials created specifically for the client's project.
We retain ownership of our pre-existing tools, frameworks, libraries, and methodologies. Where such materials are incorporated into client deliverables, we grant clients a perpetual, non-exclusive license to use them as part of the delivered solution.
All content on this website, including text, graphics, logos, and software, is the property of Codevra and is protected by international copyright, trademark, and other intellectual property laws.
We maintain strict confidentiality regarding all client information, project details, and proprietary data. All team members are bound by non-disclosure agreements (NDAs). We will not disclose client information to third parties without explicit written consent, except as required by law.
Payment terms are specified in individual project SOWs. Generally, projects follow a milestone-based payment schedule. All fees are quoted in the currency specified in the SOW. Late payments may incur interest charges as specified in the applicable agreement.
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables are outlined in project SOWs.
This website is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
To the maximum extent permitted by applicable law, Codevra shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our website or services. Our total liability shall not exceed the amounts paid by you for the specific services giving rise to the claim.
You agree to indemnify and hold harmless Codevra, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our website or services, or your violation of these Terms.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the Shenzhen Court of International Arbitration (SCIA) for arbitration in accordance with its rules.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, wars, government actions, pandemics, or internet disruptions.
We reserve the right to modify these Terms at any time. Material changes will be posted on our website with a revised effective date. Continued use of our website or services after such changes constitutes acceptance of the modified Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
